Consulting Agreement
Dated 10 August 2026

This Consulting Agreement (the "Agreement") is entered into on 10 August 2026 by and between:

[Client], with its registered office at [address] (the "Client");

AND

[Consultant], with address at [address] (the "Consultant").

1. Engagement and scope
Client engages Consultant on a non-exclusive basis to provide the services described below ("Services"), commencing on 10 August 2026 and continuing until 10 February 2027 unless terminated earlier in accordance with this Agreement.

2. Independent contractor relationship
Consultant is engaged as an independent contractor and not as an employee, partner, or agent of Client. Consultant shall be responsible for all applicable taxes, social security, and other statutory contributions on the consideration received.
3. Fees and payment
Consultant shall be paid [fees] on a monthly retainer basis. Monthly invoice; payment within 15 days of receipt.
4. Expenses
Pre-approved business expenses reimbursed at actuals against receipts.
5. Intellectual property
All work product, deliverables, and intellectual property created by Consultant under this Agreement shall be the exclusive property of Client. Consultant assigns all rights, title, and interest therein to Client.
6. Confidentiality
During and after the engagement, Consultant shall hold all Confidential Information of Client in strict confidence and shall not use or disclose it for any purpose other than performance of the Services.
7. Non-compete
During the engagement and for 6 months thereafter, Consultant shall not directly or indirectly engage with any direct competitor of Client in respect of services materially similar to the Services, within the same geography.
8. Termination
Either Party may terminate this Agreement for convenience by giving 30 days' prior written notice. Either Party may terminate immediately for material breach which is not cured within 15 days of written notice. Upon termination, Consultant shall return all Client property and Confidential Information.
9. Limitation of liability
Consultant's aggregate liability under this Agreement shall not exceed the total fees paid by Client to Consultant in the 6 months preceding the claim. Neither Party shall be liable for indirect, consequential, or punitive damages.
10. Governing law and jurisdiction
This Agreement shall be governed by the laws of India. The courts at New Delhi shall have exclusive jurisdiction over any disputes arising hereunder.
11. Entire agreement
This Agreement constitutes the entire understanding between the Parties on the subject matter and supersedes all prior agreements. Any amendment must be in writing and signed by both Parties.
