This Memorandum of Understanding (the "MoU") is entered into on 10 August 2026 by and between:

This MoU shall be effective from the date of execution and shall remain in force for 6 months unless extended or terminated earlier by mutual written consent.
5. Confidentiality
Each Party shall keep all Confidential Information of the other Party in strict confidence and shall not disclose or use it other than for the purposes of this MoU. This obligation shall survive termination for a period of 3 years.
6. Definitive agreement
The Parties acknowledge that this MoU does not create a partnership, joint venture, or agency relationship. Should the Parties decide to formalise the collaboration, they shall negotiate in good faith and execute a definitive agreement.
7. Binding nature
The commercial and operational provisions of this MoU represent the Parties' good-faith intent and are non-binding. The Confidentiality and (if applicable) Exclusivity clauses shall, however, be binding on the Parties.
8. Termination
Either Party may terminate this MoU by giving 30 days' prior written notice. Confidentiality and any binding clauses shall survive termination.
9. Governing law and jurisdiction
This MoU shall be governed by the laws of India. The courts at New Delhi shall have exclusive jurisdiction over disputes arising hereunder.
