This Vendor Agreement (the "Agreement") is entered into on 10 August 2026 ("Effective Date") by and between:

AND

[Vendor], with its registered office at [address] (the "Vendor"), represented by [name], [title].

The Client and the Vendor are individually a "Party" and collectively the "Parties".

3. Term
This Agreement commences on 10 August 2026 and continues until 10 August 2027 unless terminated earlier in accordance with this Agreement.
4. Consideration and payment
Vendor shall be paid [fees]. Monthly invoice; payable within 30 days of receipt.
5. Confidentiality
Each Party shall keep all Confidential Information of the other Party in strict confidence and shall not disclose or use it for any purpose other than performance of this Agreement, for a period of 3 years from disclosure or termination, whichever is later.
6. Non-solicitation
During the term and for a period of 12 months thereafter, Vendor shall not directly or indirectly solicit any employee, customer, or supplier of Client.
7. Termination
Either Party may terminate this Agreement for convenience by giving 30 days' prior written notice to the other Party. Either Party may terminate this Agreement immediately for material breach which is not cured within 30 days of written notice.
8. Limitation of liability
The aggregate liability of either Party arising out of or in connection with this Agreement shall not exceed Total fees paid to Vendor in the 12 months preceding the claim. Neither Party shall be liable for any indirect, consequential, or punitive damages.
9. Indemnification
Each Party shall indemnify and hold harmless the other Party against any third-party claims arising from the indemnifying Party's gross negligence, wilful misconduct, or breach of this Agreement.
10. Governing law and jurisdiction
This Agreement shall be governed by the laws of India. The courts at New Delhi shall have exclusive jurisdiction over any disputes arising hereunder.
11. Entire agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, written or oral, with respect to the subject matter hereof. Any amendment must be in writing and signed by both Parties.
